Software License
Agreement

Subject to your compliance with this Agreement, FocusScore.ai grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

• Install and use one copy of the FocusScore Chrome extension on devices you personally own or control, for personal, non-commercial purposes.
• Access and use the FocusScore web application at focusscore.ai for the purpose of reviewing your own focus analytics.
• Access the FocusScore API solely through the official extension or web application, and not directly or programmatically for any other purpose.

This licence does not include any rights to the Software's source code, design specifications, scoring methodology, or any other materials not explicitly listed above. All rights not expressly granted are reserved by FocusScore.ai.

The Software is licensed for your personal, non-commercial use to:

• Monitor your own digital attention habits and focus patterns.
• Block or filter distracting content on your own devices.
• View your personal analytics and weekly reports.
• Share your own Focus Score publicly (e.g. on social media) for personal expression.

You must not, and must not permit or assist any third party to:

• Clone or replicate: Create any product, service, extension, application, or website that is substantially similar to, derived from, or inspired by the FocusScore product concept, user interface, scoring methodology, or feature set.
• Reverse engineer: Disassemble, decompile, reverse-engineer, or otherwise attempt to derive the source code, algorithms, data structures, or trade secrets of the Software by any means.
• Copy or reproduce: Copy, reproduce, republish, or distribute any part of the Software, its design, or its content beyond what is strictly necessary for personal use.
• Create derivative works: Modify, adapt, translate, or create derivative works based on the Software or any component of it.
• Redistribute: Sell, sublicense, rent, lease, loan, transfer, assign, or otherwise commercially exploit the Software or any rights to it.
• Remove notices: Remove, obscure, or alter any copyright, trademark, patent, or proprietary rights notices in the Software.
• Compete: Use the Software, its design, or any knowledge gained through use of the Software to build, fund, or assist a competing focus-scoring, attention-tracking, or social-media-analytics product.
• Scrape or extract: Scrape, harvest, or systematically extract data from the FocusScore web application or APIs for any purpose other than your own personal analytics.
• Automated access: Access the Software by automated means (bots, scripts, crawlers) that are not part of the official Software.
• Bypass security: Circumvent, disable, or otherwise interfere with security features or technical protection measures of the Software.

The Software is protected by the UK Copyright, Designs and Patents Act 1988 and equivalent legislation in jurisdictions worldwide, including the EU Copyright Directive, the US Digital Millennium Copyright Act (DMCA), and the Berne Convention.

Copyright protection applies to every element of the Software, including (without limitation):

• Extension source code (JavaScript, HTML, CSS, manifest)
• Backend API source code (Python/FastAPI)
• Web application source code (Next.js/TypeScript)
• The Focus Score algorithm and methodology
• Database schemas, data models, and analytics logic
• All user interface designs, layouts, and visual assets
• Brand identity, colour system, and design tokens
• All written content, including documentation and in-product text

No part of the Software may be reproduced, distributed, transmitted, displayed, published, or broadcast without the prior written consent of FocusScore.ai, except as expressly permitted in Section 2 of this Agreement.

The following names, marks, and logos are trademarks or trade names of FocusScore.ai (collectively, “FocusScore Marks”):

• FocusScore — the product and service name
• FocusScore.ai — the domain and brand identifier
• The FocusScore logo, icon, and brand colour palette
• The phrase “Focus Score” in the context of attention measurement

You may not use the FocusScore Marks in connection with any product, service, website, or content that: (a) could cause confusion as to the source or sponsorship of such product or service; (b) disparages or discredits FocusScore.ai; or (c) is used without our prior written permission.

Any goodwill generated by your permitted use of the FocusScore Marks inures solely to the benefit of FocusScore.ai. Unauthorised use of the FocusScore Marks is a violation of trademark law and may result in legal action.

The FocusScore scoring algorithm, data processing pipeline, feature extraction methods, and underlying behavioural models constitute valuable trade secrets and confidential information of FocusScore.ai. You agree:

• To maintain the confidentiality of any non-public information about the Software that you become aware of through its use.
• Not to disclose, publish, or enable others to access any trade secret or confidential information relating to the Software.
• Not to use any trade secret or confidential information for any purpose other than your own personal use of the Software as licensed herein.

These obligations survive termination of this Agreement indefinitely.

The FocusScore Software is provided as a compiled, obfuscated, or minified product. You have no right to access, view, copy, or use the underlying source code except as expressly authorised by FocusScore.ai in a separate written agreement.

Chrome extension manifest files and static assets that are technically accessible as part of the browser extension package remain protected by copyright. Their accessibility does not constitute permission to copy, use, or adapt them.

FocusScore.ai respects intellectual property rights and expects users to do the same. If you believe that any content on focusscore.ai or in the FocusScore Software infringes your copyright, please send a notice to:

Your notice must include:

• A physical or electronic signature of the copyright owner or authorised agent.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the allegedly infringing material with sufficient detail to locate it.
• Your contact information (address, phone number, email).
• A statement that you have a good-faith belief that use of the material is not authorised.
• A statement, made under penalty of perjury, that the information in the notice is accurate.

If you copy, clone, or reproduce FocusScore's intellectual property without authorisation, FocusScore.ai reserves the right to issue DMCA takedown notices, pursue civil damages, and refer the matter for criminal prosecution.

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOCUSSCORE.AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FOCUSSCORE.AI DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FOCUSSCORE.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF £10 (TEN POUNDS STERLING) OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM.

This Agreement is effective until terminated. It will terminate automatically and immediately, without notice from FocusScore.ai, if you fail to comply with any provision of this Agreement. Upon termination:

• All rights and licences granted to you under this Agreement will immediately cease.
• You must immediately uninstall and destroy all copies of the Software.
• All outstanding obligations under Sections 4, 5, 6, 7, 9, 10, and 13 survive termination.

FocusScore.ai reserves the right to pursue all available legal and equitable remedies, including injunctive relief, for any breach of this Agreement.

The Software may be subject to export control laws and regulations of the United Kingdom, European Union, and United States. You agree not to export, re-export, or transfer the Software to any country, person, or entity to which such export is restricted or prohibited by applicable law.

This Agreement is governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

You agree that any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this clause prevents FocusScore.ai from seeking injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights.

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and FocusScore.ai regarding the Software and supersedes all prior agreements, understandings, and representations.

If any provision of this Agreement is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights.
